Appointment of Director
The Company is pleased to announce the appointment of Richard Stern Press to the
Board of Millwall Holdings plc as Non Executive Director with immediate effect.
Richard, aged 71, is a resident of the USA and is a successful businessman based
in Boston whose main interests are in the Financial Services and Insurance
sectors. Since 2006 Richard has been Chairman of the Board of Transatlantic
Holdings Inc, a Financial Services company based in New York, and prior to that
was, from 1994 to 2006, a Senior Vice President and Director of the Insurance
Asset Management Group of Wellington Management Company LLC, a Boston based
company, managing assets on behalf of clients globally.
The Press Children’s Trust (“PFT”) is the holder of £100,000 of Secured
Convertible NFL Loan Notes (issued pursuant to an instrument of the Company
dated 28 March 2007) (“NFL Notes”) acquired by PFT on 26 July 2007 and £24,574
of Payment-In-Kind Notes (“PIK Notes”) issued in respect of capitalised interest
due on the NFL Notes (the NFL Notes and the PIK Notes together the “Notes”).
The Notes can be converted into Ordinary Shares in the Company at an issue
price of 0.03 pence per share up to two business days before the Notes are
repaid. If all of the Notes are converted 415,246,667 Ordinary Shares would be
issued. Further PIK Notes may be issued in lieu of future interest due on the
Notes.
