Conversion of Loan Facility & Additional Listing
The Board of Millwall announces that it has today received notices of conversion
from Chestnut Hill Ventures LLC ('CHV') requesting the conversion of £2,300,000
of the nominal amount of its convertible loan facility into 7,666,666,667
ordinary shares of 0.01p in the Company ('New Shares'). Millwall has also
received notices of conversion from certain of its directors requesting the
conversion of all the principal and accrued interest on their directors' loan
notes as to Constantine Gonticas amounting to £110,793 convertible into
369,310,000 New Shares; Keyse Holdings Limited (a company associated with Trevor
Keyse) £33,029 convertible into 110,096,667 New Shares; and as to Stewart Till,
£55,102 convertible into 183,673,333 New Shares. In accordance with the terms of
the relevant loan documents all of the New Shares will be issued at a price of
0.03p. Application has therefore been made for the admission of 8,329,746,667
New Shares to trading on AIM. Dealings in the New Shares are expected to
commence on Friday, 27th June 2008. After allotment of these New Shares, the
interests of CHV and the relevant directors in the voting share capital of the
Company will be: CHV 29.3%; Constantine Gonticas 2.39%; Trevor Keyse 3.78% and
Stewart Till 1.19%.
Following the admission of the 8,329,746,667 New Shares, the total number of
ordinary shares in issue and therefore the total number of voting rights will be
36,400,687,134. Heather Rabbatts, Chief Executive/Deputy Chairman, today
commented: 'The decision of CHV and the directors to convert their loans into
shares in these difficult times and forgo their future entitlements to interest
demonstrates their continued commitment to the Company and the Millwall Football
Club.'
